This Acceptable Use Policy ("AUP") sets out the rules and restrictions governing your use of the services provided by Re:Spark Agency Ltd. ("Agency"). This AUP forms part of, and is incorporated into, the Agency's Terms and Conditions of Service. By subscribing to our services, you agree to comply with this AUP.
1 Permitted Use
You may use our services only for lawful business purposes in connection with the marketing and promotion of your legitimate business. You must use our services in good faith and in accordance with all applicable laws and regulations.
2 Prohibited Uses
You must not instruct, request, or use the Agency's services to produce any content or conduct any activity that:
2.1 Illegal or Harmful Content
- Violates any applicable law or regulation in the United Kingdom, the United States, or any other applicable jurisdiction
- Is defamatory, libellous, fraudulent, or misleading
- Infringes the intellectual property rights of any third party, including copyright, trade marks, database rights, or confidentiality
- Constitutes or promotes illegal discrimination based on protected characteristics
- Promotes, glorifies, or facilitates illegal activity
2.2 Deceptive or Manipulative Practices
- Uses fake reviews, testimonials, or endorsements
- Constitutes misleading advertising in breach of the Consumer Protection from Unfair Trading Regulations 2008, the Business Protection from Misleading Marketing Regulations 2008, or applicable US Federal Trade Commission guidelines
- Makes false claims about competitor products or services
- Engages in "astroturfing" or other deceptive marketing tactics
2.3 Spam and Unsolicited Communications
- Sends unsolicited commercial communications in breach of the Privacy and Electronic Communications Regulations 2003 (PECR) or the US CAN-SPAM Act
- Uses purchased, rented, or harvested email lists without proper consent
- Circumvents opt-out or unsubscribe requests
2.4 Harmful or Offensive Content
- Is obscene, pornographic, or sexually explicit
- Promotes violence, hatred, or harm toward any person or group
- Targets or exploits children or vulnerable individuals
- Constitutes harassment, bullying, or threatening behaviour
2.5 Regulated Industries
- Promotes financial products or services without appropriate authorisation (FCA or SEC)
- Makes unsubstantiated health or medical claims
- Promotes gambling or betting without appropriate licences
- Promotes tobacco, alcohol, or controlled substances in ways that breach applicable advertising codes
3 Client Responsibilities
3.1 The Client is solely responsible for ensuring that all instructions, briefs, and Client Materials provided to the Agency comply with this AUP and all applicable laws.
3.2 The Client must obtain all necessary permissions, clearances, and consents before instructing the Agency to use third-party brand assets, images, music, or other materials.
3.3 Where the Agency's work involves advertising on third-party platforms (including Meta, Google, TikTok, or other ad platforms), the Client is responsible for ensuring compliance with those platforms' advertising policies.
4 Agency Rights
4.1 The Agency reserves the right, at its sole discretion, to refuse to produce, publish, or deliver any content that it reasonably believes violates this AUP, applicable law, third-party platform policies, or the Agency's own ethical standards.
4.2 The Agency may suspend or terminate the Client's subscription immediately and without refund in the event of a material or persistent breach of this AUP.
4.3 The Agency shall not be liable for any loss or damage suffered by the Client as a result of the Agency exercising its rights under this clause.
5 Indemnity
The Client agrees to indemnify and hold harmless the Agency, its directors, employees, and contractors from and against any claims, losses, damages, liabilities, penalties, and costs (including legal fees) arising from or related to: (a) the Client's breach of this AUP; (b) any content, materials, or instructions provided by the Client; or (c) the Client's use of the Deliverables in a manner that was not approved or intended by the Agency.
6 Reporting Violations

7 Updates
We may update this AUP from time to time. We will provide notice of significant changes. Continued use of our services following notice of changes constitutes acceptance of the updated AUP.
